Welcome to Reconcilr. By accessing or using our accounting application, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using Reconcilr, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use our service.

2. Description of Service

Reconcilr is a cloud-based accounting application that provides:

• Invoice and expense management
• Bank transaction reconciliation
• VAT and tax reporting tools
• Payroll management
• Open Banking integration for transaction import

Our service is designed for freelancers and small businesses, particularly those operating in Cyprus.

3. Account Registration

To use Reconcilr, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the service
• Upload malicious code or content
• Impersonate another person or entity
• Use the service to commit tax fraud or other financial crimes

5. Your Data

You retain ownership of all data you upload to Reconcilr. By using our service, you grant us a limited license to process your data solely to provide the service. We handle your data in accordance with our Privacy Policy and applicable data protection laws including GDPR.

6. Open Banking

If you choose to connect your bank account:

• You authorize us to access your account information through PSD2-compliant services
• You can revoke access at any time through your Reconcilr settings
• We are not responsible for errors or delays caused by your bank or the Open Banking provider
• Bank connections are subject to the terms of the respective financial institutions

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice where possible
• Temporarily suspend access for security or operational reasons
• Modify or discontinue features with reasonable notice

8. Limitation of Liability

Reconcilr is an accounting tool to assist with bookkeeping and tax compliance. However:

• We are not accountants or tax advisors. Our service does not constitute professional accounting or tax advice.
• You are responsible for the accuracy of data you enter and for verifying all calculations and reports.
• You should consult a qualified accountant for complex tax matters.
• We are not liable for errors in tax filings or financial decisions made based on our service.

To the maximum extent permitted by law, Reconcilr shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

9. Indemnification

You agree to indemnify and hold harmless Reconcilr from any claims, damages, or expenses arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

10. Intellectual Property

Reconcilr and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our software without permission.

11. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these terms. Upon termination:

• Your right to use the service ceases immediately
• You may request export of your data before closure
• We may retain data as required by law (e.g., tax records)

12. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of the Republic of Cyprus. Any disputes shall be resolved in the courts of Cyprus.
